Shareholder Communications, a provider of individual shareholder response services, announced today it will acquire Georgeson & Co., the leading institutional proxy solicitation firm, creating the largest global proxy solicitation company, with combined pro forma revenues of nearly $100 million. Terms of the deal were not disclosed. The new company will be called Georgeson Shareholder Communications and will offer proxy solicitation, corporate governance consulting, information agent services, merger and acquisition services, post-merger services and rights offerings. "The combination of the two companies is designed for the next phase of our growth and will allow us to have an even stronger focus on the international markets and be better positioned to serve our clients worldwide, said William M. Crane, Georgeson CEO, who will be president of the merged company. Alexander B. Miller, CEO of Shareholder Communications, will be chairman and CEO of the new company; and John C. Wilcox, chairman of Georgeson, will serve as vice chairman.
