The Council of Institutional Investors is surveying all of the companies in the Standard & Poors 500 stock index, asking if they have policies regarding shareholder approval of stock option plans and repricing programs.
The mass mailing will be completed in several stages over the next few months. It will ask companies to disclose whether they have authorized any stock option plans or repricing programs without shareholder approval and if they have policies regarding shareholder approval of these actions.
Companies will be asked to send any written policies on these issues to the Council. Survey results will be posted on the councils Web site (www.cii.org) and will be a topic at an informal meeting of council members with the SEC in March.
